If the sold thing is specified property, the ownership will transferred with offer and acceptance and delivery will not has effect in transferring, as a general rule. There are different ideas about the time of transferring of ownership of sold thing and the role of delivery in it, when the sold thing is unspecified property. Some of lawyers have believed that ownership is transferred with discretion of the sold thing; others have believed that ownership is transferred with delivery. The civil code is silence about the power of the parties of contract for determining of the time of transferring of ownership. In the English law, the sold thing may be specified or unspecified property also. If the sold goods is deliverable, ownership will transferred with creation of contract, but if the sold goods is not in deliverable state , ownership will transferred in the time that seller or buyer put the sold goods in the state of delivery, therefore, delivery has not effect in the transferring of ownership. The sale of goods Act has had permission to the parties of contract for determining of the time of transferring of ownership. In this article, the role of delivery in transferring of ownership of sold things in the Iranian and English law has been discussed. در حقوق ایران، مبیع ممکن است عین معین، کلی در معین، یا کلی فی الذمه باشد. در جایی که مبیع عین معین است، اصولاً انتقال مالکیت با ایجاب و قبول واقع می شود و قبض تاثیری در انتقال مالکیت ندارد، به استثنای بیع صرف که قبض، شرط صحت آن است (ماده 364 قانون مدنی). در موردی که مبیع کلی است، بین حقوقدانان در باره زمان انتقال مالکیت و نقش قبض در آن اختلاف نظر وجود دارد: برخی، زمان تعیین مصداق مبیع را زمان انتقال مالکیت می دانند و بعضی، زمان تسلیم (قبض) را زمان انتقال دانسته اند. قانون مدنی، در مورد اختیار طرفین، برای تعیین زمان انتقال مالکیت ساکت است. در حقوق انگلیس، ممکن است مبیع، عین معین یا نامعین باشد. در این نظام حقوقی، اگر مبیع در وضعیت قابل تسلیم باشد با انعقاد عقد، انتقال مالکیت صورت می گیرد، ولی اگر مبیع در وضعیت قابل تسلیم نباشد، وقتی که فروشنده یا خریدار، حسب مورد، مبیع را در وضعیت تسلیم قرار دهد، انتقال مالکیت صورت می گیرد، لذا قبض تاثیری در انتقال مالکیت ندارد. البته قانون بیع کالا، صراحتاً به طرفین اختیار تعیین زمان انتقال مالکیت را داده است. در این تحقیق، نقش قبض در انتقال مالکیت در انواع مبیع در حقوق ایران و انگلیس مورد بررسی قرار می گیرد https://jol.guilan.ac.ir/article_604_75889214d1cec4cf7381b3d4fc3a48a3.pdf
